Terms of Use
These Terms of Use govern the use of, and the relationship between, the Simpixy business and software and any person, visitor, or legal entity that browses, registers for, or obtains direct or indirect access to the platform services, digital galleries, and mini-site websites that host content (the “User” or “Visitor”).
1. Core definitions
- The Business / The Platform: Rami Pazhar, exempt dealer, developer and operator of the Simpixy digital gallery system and its related technology infrastructure.
- Gallery Controller: The Platform’s direct commercial customer — the primary account holder who creates digital galleries and manages their mini-site and portfolio. Legally defined as the “controller” of the visual database.
- Client (of the photographer): The party that commissions the photographer (for example a couple, family, or commercial production) for whom the photos were created and who receives expanded management permissions in a dedicated gallery.
- Casual user / Guest: An occasional user (for example a wedding or event guest) who temporarily accesses a specific digital gallery to view, download, use face-search/tagging tools, or upload content via a link or QR code.
- Photographed person: Any person, minor or adult, whose image, face, or visual characteristics appear in media files uploaded to the Platform by the photographer.
- Lead: A visitor who leaves contact details on landing pages, or a person who contacts a photographer through an electronic contact form on a mini-site built on the Platform’s infrastructure.
2. Registration, accounts, and passwords
General browsing of public landing pages does not require registration. Active operations in the system — including creating a photographer account, creating and managing galleries, marking album photos, giving feedback, uploading or downloading files — require a formal digital registration and provision of full, accurate details (full name, email, and verified phone number). Providing false or distorted details is a material breach of these Terms.
To access the service and personal area, the User must create a password that meets the system’s security requirements (combination of uppercase and lowercase letters, numbers, and special characters). The User is solely responsible for keeping login credentials confidential and for not allowing others to use their account. The Business is not liable for damage or data leakage caused by unauthorized access resulting from the User’s negligence in safeguarding their password.
The Platform supports password recovery through a secure two-step process (identity verification against the registered email) or sign-in via a verified Google account, to reduce account theft or misuse. The User must immediately report to the Business any suspicion of breach, password leakage, or unauthorized use of their account.
3. Platform intellectual property and prohibition on harmful use
All intellectual property rights in the Platform, website, and service — including without limitation source code, software architecture, trademarks (registered and unregistered), interface design, graphics, written guides, text commands, and algorithms (including face-feature management and clustering mechanisms) — are the full, exclusive property of Rami Pazhar and are protected by Israeli intellectual-property law and international conventions. Access to the service grants the User only a personal, limited license for the operational purposes of the galleries, and no ownership rights in that intellectual property.
Users are expressly prohibited from harming the Platform, infrastructure, or other users, including: copying, reproducing, transmitting, translating, reverse-engineering, or decompiling the software, or using the system’s materials or methods to build a competing platform or service. It is also prohibited to use computer applications, robots, crawlers, or any other automated means to search, scan, copy, retrieve, or “harvest” data and images from the Platform.
The Business reserves the full and exclusive right to immediately block, remove, revoke licenses, cancel accounts, and deny access to the site or Platform (including by IP blocking), without prior notice, for any User (photographer, client, or casual guest) who abuses the Platform, provides misleading details, copies the software or its components, or uses the system or photographs to humiliate, degrade, harass, defame, or otherwise harm others. Such removal does not entitle the User to any refund or compensation, and is without prejudice to the Business’s right to take any available legal measures.
4. Copyright, ownership of photographs, and responsibility for folders and media
Simpixy and its owner have no, will have no, and do not claim any intellectual-property, copyright, ownership, or legal possession rights in photographs, videos, and media materials uploaded to the Platform by users. All legal and proprietary rights in the media remain solely with the original rights holders (the photographer or the commissioning client, according to the contract between them).
All rights, licenses, ownership of raw materials, and legal arrangements regarding the photographs are regulated exclusively and independently in the contractual agreements between the professional photographer and the commissioning client. The Platform is not a party to, does not supervise, and bears no responsibility or involvement regarding those terms or proprietary disputes between the photographer and their clients.
Client folders and digital galleries managed on the Platform are blocked and fully protected from public access by default. Access is granted only through individual, controlled logical permissions that are defined and fully controlled by the photography clients or photographers, as applicable, via personal/group passwords or token links.
Folders and galleries managed in the self-service system may contain diverse photographs, including embarrassing, intimate, or photographs of minors. The Platform has no control, human supervision, monitoring, filtering, or review of uploaded content, the nature of photographs, or the age of photographed persons. Full legal, moral, ethical, civil, and criminal responsibility for the nature of the photographs, their possession and distribution, and obtaining lawful parental consents rests solely with the photographer and the client/commissioning party. Complaints about unauthorized use of photographs, including on mini-sites and gallery cover photos, must be directed exclusively to the photographer or relevant client controlling the content; the Platform has no involvement in that content.
Notwithstanding the above, if the Platform or anyone on its behalf becomes aware that folders and galleries are used to manage, store, distribute, or provide access to media whose possession constitutes an offense under the laws of the State of Israel, Simpixy will treat this as a material breach of these Terms. In such cases Simpixy may block access to the folder, gallery, or entire account at its discretion, delete or restrict the content, and report to competent authorities.
5. Face-feature sorting and cataloging technology
The Platform has face-recognition capabilities for user and client convenience, used to catalog and locate users’ photographs. Use of these tools is subject to permissions granted to the Platform by users, clients, and photographers.
In accordance with guidance of the Privacy Protection Authority, activation of AI tools for face recognition and tagging requires an active click and prior explicit approval by the visitor (or a declaration by the photographer that lawful permission was obtained from photographed persons) through a dedicated interface dialog (opt-in). Without that permission, biometric face-recognition tools remain blocked for that user.
It is strictly prohibited to assign humiliating, misleading, offensive, or defamatory names to face groups in the system. To reduce incorrect cataloging, every biometric gallery includes an accessible report control: “Report incorrect or offensive tagging.” Using this control allows a photographed person to request deletion, removal, or immediate unlink of their face and photos from a misleading tag, without exposing their details.
6. Privacy and accessibility
The Platform respects user privacy and applies strict logical and technological security measures consistent with law and industry practice. Full detail on collection, purposes, retention, sub-processors, and statutory rights is set out in the separate Privacy Policy published on the site, which forms an integral part of these Terms.
The Platform works to adapt browsing interfaces, galleries, and systems for people with disabilities, in accordance with the Equal Rights for Persons with Disabilities Regulations (Accessibility Adjustments for Service), 5773-2013. 7. Governing law and jurisdiction
These Terms, their interpretation, performance, or breach are governed exclusively by the laws of the State of Israel.
Any dispute, claim, or legal conflict between the parties arising from this agreement or related to use of the Platform shall be brought exclusively before the court of competent subject-matter jurisdiction in the State of Israel.
